Pursuant to the Federal Sarbanes-Oxley Act of 2002, the Audit Committee of Think Partnership Inc., has established the following procedure by which you can bring to the attention of the Audit Committee any complaint which you may have regarding either:

• Accounting, internal control or other auditing issues affecting Think Partnership, Inc. or it’s Division segments, or
• the activities of any officer or employee of Think Partnership, Inc. that you believe may be illegal:

You can submit a complaint either in writing or orally, whichever you prefer.

ANONYMOUS COMPLAINTS ARE WELCOME.
YOU ARE NOT REQUIRED TO DISCLOSE YOUR NAME OR ANY INFORMATION ABOUT YOURSELF.
